REMrktCo, LLC has designed this platform to help homeowners explore and compare multiple home-selling options. This Disclosure Statement explains how the platform works, the role of REMrktCo, LLC and its affiliated companies, how offers may be generated, and how participants may be compensated. Please read this Disclosure Statement carefully before submitting information through the Services.

1. Who We Are

REMrktCo, LLC and its subsidiaries, affiliates, brands, websites, and related technology platforms, including HighestPrice.com, LLC, HomeUptick, CashOffersPRO, etc. (collectively, "REMrktCo," "we," "our," "theirs," or "us"), operate the Services described in this Disclosure Statement. Our goal is to provide homeowners with access to a variety of potential selling options through a single platform, which, depending on the property, market conditions, location, and participating providers, may include traditional listing services, cash purchase opportunities, institutional buyer programs, investor purchase programs, buy-before-you-sell programs, trade-in programs, bridge solutions, marketplace buyer opportunities, hybrid sale programs, and other real estate-related opportunities.

2. We Are Not a Home Buyer

REMrktCo and its various sites and brands generally do not purchase homes directly. We operate a technology platform that helps connect homeowners with independent third parties that may have an interest in purchasing, financing, listing, evaluating, servicing, or otherwise assisting with real estate transactions. Any offer presented through the platform is typically made by an independent third party and not by REMrktCo or its affiliates unless specifically identified otherwise. Any purchase agreement, listing agreement, financing agreement, service agreement, or other transaction document is entered into directly between the homeowner and the applicable third party.

3. We Do Not Guarantee Offers or Results

Submission of information through any REMrktCo site does not guarantee:

Offer amounts may change based upon additional information, inspections, title review, financing considerations, market conditions, underwriting requirements, property condition, occupancy status, repair estimates, or other factors determined by the participating provider. Initial estimates, preliminary valuations, automated valuations, and indicative offers should not be viewed as final offers or binding commitments.

4. How Offers Are Generated

The platform may use information provided by homeowners together with publicly available information, property data, valuation models, market data, artificial intelligence tools, automated decision-support systems, participating provider criteria, and other sources to identify potential opportunities. Some offers may be generated automatically based upon criteria established by participating providers. Other offers may be generated following review by individual buyers, investors, agents, brokers, lenders, or service providers. The fact that a provider appears on the platform does not mean that the provider will make an offer on every property, and the absence of an offer does not necessarily mean the property is unsuitable for that provider.

5. Marketplace Presentation of Offers

REMrktCo operates a marketplace designed to help homeowners evaluate multiple potential selling opportunities. Offers, estimates, opportunities, recommendations, marketplace participants, service providers, and transaction options may be displayed, organized, filtered, highlighted, prioritized, ranked, grouped, or presented using a variety of factors, including offer amount, estimated net proceeds, closing timeline, financing terms, property eligibility, consumer preferences, geographic availability, program availability, marketplace activity, data supplied by participating providers, automated platform processes, artificial intelligence tools, platform algorithms, and other business, operational, or marketplace considerations.

The order in which offers or opportunities appear should not be interpreted as a recommendation, endorsement, guarantee, ranking of quality, determination of suitability, or identification of the "best" option for any particular homeowner. The highest offer may not result in the highest net proceeds. The fastest offer may not provide the greatest flexibility. Different homeowners may reasonably prefer different outcomes depending on their individual circumstances and objectives.

6. Participating Providers

The platform may include independent third parties such as real estate brokerages, licensed real estate agents, institutional buyers, individual investors, home-buying companies, iBuyers, lenders, title companies, contractors, service providers, and other marketplace participants. Participating providers are independent businesses and are not employees, agents, joint venturers, partners, or representatives of REMrktCo unless specifically stated otherwise. Each participating provider is responsible for its own products, services, representations, conduct, contractual obligations, licensing requirements, and compliance responsibilities.

7. Compensation and Business Relationships

REMrktCo, its affiliated companies, participating brokerages, affiliated agents, service providers, participating providers, and marketplace participants may receive compensation in connection with transactions facilitated through the platform. Compensation may include brokerage commissions, professional service fees, referral fees, marketing or advertising fees, lead generation fees, subscription fees, technology access fees, transaction-based fees, licensing fees, revenue-sharing arrangements, or other lawful compensation arrangements. Compensation generally does not determine whether a participating provider may submit an offer through the marketplace. However, certain promotional placements, featured placements, sponsored opportunities, advertising arrangements, or enhanced visibility programs may affect how information is displayed within portions of the Services.

8. Real Estate License Disclosures

8.1 No Fiduciary or Advisory Relationship

Except as expressly agreed in a separate written agreement executed by the applicable parties, REMrktCo does not act as a fiduciary, financial advisor, investment advisor, legal advisor, tax advisor, real estate advisor, broker, agent, representative, advocate, or professional advisor for any consumer solely by virtue of providing access to the Services. Nothing presented through the Services shall be interpreted as a recommendation that a consumer select, reject, prioritize, or proceed with any particular offer, provider, transaction structure, financing option, or course of action.

8.2 Responsibility for Professional and Licensing Disclosures

Each participating real estate professional, brokerage, lender, mortgage company, title company, settlement provider, attorney, accountant, financial professional, or other licensed service provider is solely responsible for determining which disclosures are required in connection with its services and for providing all disclosures, notices, acknowledgments, consents, and documentation required by applicable law. Nothing in this Disclosure Statement modifies, limits, waives, or replaces any disclosure, duty, obligation, fiduciary responsibility, consumer protection, or legal requirement that a licensed professional may owe directly to a consumer under applicable law.

9. Property Values, Estimates, and Market Information

The Services may provide estimated property values, automated valuation models ("AVMs"), projected net proceeds, offer comparisons, pricing analyses, market data, equity estimates, suggested listing ranges, estimated repair costs, AI-generated analyses, buyer valuations, investor valuations, and other informational tools. Any value, estimate, range, analysis, projection, recommendation, or calculation provided through the Services is intended solely for informational and illustrative purposes and does not constitute an appraisal, broker price opinion, comparative market analysis, professional valuation, investment recommendation, legal opinion, tax advice, financial advice, guarantee of value, prediction of future market performance, or representation regarding the price at which a property may be purchased, sold, financed, or refinanced.

10. Third-Party Information and Data Accuracy

Information presented through the Services may be obtained from homeowners, buyers, investors, lenders, brokers, agents, title companies, public records, multiple listing services, valuation models, artificial intelligence systems, data providers, and other third parties. REMrktCo does not independently verify all information made available through the Services and makes no representation regarding its accuracy, completeness, reliability, timeliness, or suitability. Consumers should independently verify all material information and should not rely solely upon information provided through the Services when making significant financial or real estate decisions.

11. No Endorsement of Marketplace Participants

The inclusion of a buyer, investor, lender, broker, agent, contractor, service provider, or other participant within the marketplace does not constitute an endorsement, certification, recommendation, approval, guarantee, or representation by REMrktCo. Consumers are solely responsible for evaluating marketplace participants, conducting their own due diligence, reviewing applicable agreements, and determining whether a provider is appropriate for their individual needs and objectives.

12. Affiliated Relationships

Certain marketplace participants may have business, contractual, ownership, referral, marketing, licensing, revenue-sharing, brokerage, employment, investment, or other affiliations with REMrktCo, their owners, affiliates, subsidiaries, strategic partners, or related entities. The existence of an affiliated relationship does not require a consumer to select any affiliated participant, and consumers remain free to pursue any available option inside or outside the marketplace. Where required by applicable law, additional disclosures regarding affiliated business relationships will be provided by the applicable provider.

13. Marketplace Participation Limitations

The Services are intended to provide access to a broad range of marketplace opportunities; however, the marketplace does not necessarily include all buyers, investors, lenders, brokers, agents, service providers, programs, products, or opportunities available within a particular geographic area or market. Participation in the marketplace is voluntary. The absence of a provider, offer, or opportunity within the Services should not be interpreted as an indication that no such provider, offer, or opportunity exists elsewhere in the market.

14. Information Sharing

In order to provide marketplace opportunities, information you submit may be shared with participating providers and other parties described in our Privacy Policy. Information shared may include property information, homeowner information, transaction preferences, communications, and other information reasonably necessary to evaluate opportunities available through the platform. By submitting information through the Services, you authorize such sharing as described in the Privacy Policy, Cookie Policy, and Terms of Use.

15. Artificial Intelligence and Automated Technologies

REMrktCo and participating providers may use artificial intelligence, machine learning, predictive analytics, automated valuation technologies, automated underwriting systems, decision-support technologies, and similar tools. Automated technologies may occasionally produce inaccurate, incomplete, outdated, or imperfect results, and human review may not occur in every instance. Homeowners should independently evaluate information provided through the platform and should not rely exclusively upon automated outputs when making significant financial or real estate decisions.

16. No Legal, Tax, Financial, or Investment Advice

Information provided through the platform is for informational purposes only. REMrktCo and its affiliated companies do not provide legal advice, tax advice, accounting advice, financial advice, investment advice, appraisal services, engineering services, inspection services, or other professional advice unless expressly stated in writing. Any decisions regarding the purchase, sale, financing, ownership, improvement, or disposition of real property should be made in consultation with qualified professionals.

17. Fair Housing and Equal Opportunity

REMrktCo supports compliance with applicable fair housing, equal opportunity, anti-discrimination, and consumer protection laws. Participating providers are independent companies and are expected by the policies of REMrktCo to comply with applicable legal requirements governing their services and activities.
